1. By entering into an agreement with Woof Websites
for the construction and circulation of a website and by signing our 'Website
Proposal Acceptance Form' accompanying the actual Proposal Report, you (The
Client), have read and agree to the following Terms and Conditions.
2. The client understands that Woof Websites cannot be held responsible for
failings of:
i) the client's web host
ii) any of the clients telecommunications carriers
iii) any of the World Wide Web infrastructure
iv) any of the clients Internet Service Providers.
3. Woof Websites will commence work on the clients
project on receipt of a signed copy of the 'Proposal Acceptance Form'. Completion
of the work will then be carried out within the proposed schedule. *
*This will be dependent on the provision of content for the project by the client.
(See para.5.) Failure by the client to provide content within the agreed time
period, resulting in a delay in the project's completion date, will result in
the client being invoiced for the full amount within 7 days of the proposed
completion date.
4. Work undertaken will be fully detailed in the Proposal. It will include all
design and promotion services necessary to complete the project to the client's
specification and satisfaction resulting in the website's circulation on the
World Wide Web.
5. It is the client's responsibility to supply Woof Websites with photographs,
artwork and descriptive text for inclusion in the website other than that designed
and supplied by Woof Websites (as agreed and detailed in the Proposal). It is
the clients responsibility to ensure that any material supplied by them is copyright
free or they have obtained correct and proper permission from the copyright
owner(s) for use of such materials in the clients website. The client will indemnify
Woof Websites against any claims of libel, copyright, or trademark infringement
brought against Woof Websites in respect of any such material supplied by the
client for inclusion in their website.
6. Woof Websites shall not be held liable to any person who may suffer loss
or damage which may arise from their use of any information supplied by the
client and contained in the clients website.
7. Woof Websites shall not be held liable for any of the accuracy of any information
supplied by the client and contained in the clients website.
8. Upon final payment of the agreed fee for the services detailed in the proposal,
ownership and copyright of the website will be transferred to the client. Until
the final payment is made ownership and copyright will remain with Woof Websites.
9. During the construction of the website, Woof Websites will at all times consult
with the client and provide a facility to view the pages to enable the client
to have an input with regard to the content, layout and appearance of the pages.
On completion of the website it will be circulated with the Internet Search
Engines and managed for the client as detailed in the 'Proposal'.
10. Woof Websites will require the client to supply usernames and passwords
to enable access to the clients directories on the clients server in order to
install the website and run any scripting necessary for the functionality of
the site. This access will normally be via FTP or SSH Secure File Transfer from
Woof Websites own computers.
11. Woof Websites cannot accept responsibility for any modifications, deletions
or amendments made to the website by any third party whether malicious or otherwise
once the website is placed on the server. Should this occur Woof Websites will
endeavour to identify the source of the interference and restore the website
to it's original condition at the earliest opportunity after being informed
of the changes. *
* Woof Websites cannot guarantee that the source of the interference can be
positively identified or prevented from reoccurring on future occasions.
12. Payment: On the agreed completion date the client will be invoiced for the
agreed fees detailed in the Proposal. Settlement of the fees will be required
within 30 days from the date of the invoice. Woof Websites reserve the right
to remove the completed website from the server, (preventing access on the Word
Wide Web), should the client default or delay payment after the 30 day period.
13. Future upgrades and amendments to the completed website will be carried
out as detailed in the orginal proposal or invoiced via a separate proposal.
14. Woof Websites require that the clients completed website carry a small graphic
and or text link from the index, (home) page, to Woof Websites own site at the
url: www.woof-websites.co.uk
15. Woof Websites reserve the right to amend these Terms and Conditions at any
time without notice. Amendments will become effective immediately on being posted
on Woof Websites own website at: www.woof-websites.co.uk
